About the Role

We are building a next-generation public markets investment platform focused on reallocating mispriced capital through special situations strategies. Our model is designed to be lean, execution driven, and impact-oriented.

This is not a traditional investment fund structure. We are building a high-performance platform focused on transformational opportunities in the public markets.

Role: General Counsel, Public Markets and Special Situations

We are seeking a hands-on legal operator with strong transactional expertise. This role works directly with the founder and investment team to support a publicly listed acquisition vehicle. The position involves active participation in structuring, executing, and closing complex transactions rather than simply providing advisory input.

This is a deal-driven legal role embedded within an active investment platform.

Key Responsibilities

• Partner with the investment team on legal due diligence for distressed and special situations transactions, such as technology, digital infrastructure, media, and software sectors
• Draft and structure PIPE transactions, asset purchase agreements, reverse mergers, and charter amendments
• Prepare and file SEC documentation, including Forms 8 K, Super 8 K, Form 14C, and related governance filings
• Manage external counsel selectively while maintaining ownership of transaction execution
• Participate across the full transaction lifecycle as part of the core deal team

Candidate Profile

• 5 to 10 or more years of experience in the United States capital markets or mergers and acquisitions law from a law firm or a public company in-house background
• Strong public company experience, including IPOs, reverse mergers, PIPEs, Super 8 K filings, and S 1 and S-4 processes
• Demonstrated experience in legal due diligence and structuring complex or cross-border transactions
• Ability to draft and execute documents independently, rather than serving only in a review capacity
• Comfortable operating in lean, fast-paced environments
• Highly motivated, impact-driven, and adaptable across time zones
